1. Introduction

EZ Invoice ("we", "us", or "our") operates the cloud-based digital invoicing platform available at ezinvoice.pk. These Terms and Conditions ("Terms") govern your access to and use of the platform and related services, including FBR Digital Invoicing submission and professional PDF invoice generation.

By creating an account or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Included Services & Software Features

The Client will have access to a cloud based digital invoicing platform with the following core functionalities:

  • Multi-Company & Invoice Management: Capability to register and manage multiple business entities under a single account and their invoices.
  • Comprehensive Invoicing Life Cycle: Tools for creating, managing, and searching through invoices, buyers, items and HS codes under his own account.
  • FBR Integration & Compliance: Specialized support for submitting invoices to the FBR Digital Invoicing portal, including handling validation responses and errors received from FBR portal against submitted invoice.
  • Professional Document Generation: Automatic generation of PDF invoices (Portrait/Landscape) featuring FBR invoice numbers and system-generated QR codes.

3. Exclusions (What is Not Covered)

To maintain clear service boundaries, the following are specifically excluded from our standard service:

  • Tax Advisory Services: Our software is a tool for digital record-keeping and submission. We do not provide legal or professional tax advice or filing representations.
  • Third-Party API Failures: While we facilitate the connection, we are not responsible for downtime or errors originating directly from government servers (e.g., FBR IRIS downtime) or due any other issue faced due to FBR / IRIS end.
  • Internet Connectivity: The service is cloud-based; the Client is responsible for their own internet connectivity required to access the platform.
  • Hardware Maintenance: Maintenance of the Client's local hardware (printers, computers, mobile devices) is not included.

4. Account Registration & Responsibilities

  • Eligibility: You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our services.
  • Accurate Information: You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
  • One Account Per User: Each user may maintain only one active account. Duplicate accounts may be suspended without prior notice.
  • Business Use Only: Our services are intended for business and professional use. You agree not to use the platform for any personal, non-commercial purpose.

5. Data Ownership & Security

  • Ownership: All business data entered remains the sole property of the Client.
  • Security: Data is protected via industry-standard encryption and secure authentication protocols used for websites.
  • Data Backup: While we implement regular data backup procedures, we recommend that clients maintain their own independent backups of critical business data. We are not liable for data loss resulting from circumstances beyond our reasonable control.
  • Data Access: Clients may export their data at any time in standard formats through the platform's built-in export features.

6. Charges

  • Integration Fee: Integration of company process with FBR / IRIS portal Rs. 5000/- one time per company.
  • Subscription Fee: Monthly subscription fee for usage of the software Rs. 1,000/- per month per company.
  • Payment Terms: Subscription fees are due in advance and must be paid before the start of each billing cycle. Late payments may result in service suspension.
  • Price Changes: We reserve the right to modify subscription fees with at least 30 days' prior written notice. Continued use of the services after a price change constitutes acceptance of the new pricing.
  • Taxes: All fees are exclusive of applicable taxes. Any taxes imposed on the services will be added to your invoices as required by law.
  • Refund Policy: Fees are non-refundable except as required by applicable law or as expressly stated in these Terms. Pro-rated refunds may be issued at our sole discretion for prepaid periods of service not yet rendered.

7. Service Availability & Uptime

  • Service Level: We strive to maintain continuous service availability. However, we do not guarantee uninterrupted or error-free operation of the platform.
  • Scheduled Maintenance: We may perform scheduled maintenance that temporarily interrupts service. We will endeavor to provide at least 48 hours' notice for planned maintenance windows.
  • Unplanned Downtime: We are not liable for service interruptions caused by factors beyond our reasonable control, including but not limited to internet outages, government server downtime (FBR IRIS), natural disasters, or cyberattacks.
  • Third-Party Dependencies: The platform relies on third-party services including FBR API, hosting providers, and payment processors. We are not responsible for the availability or performance of these external services.

8. Acceptable Use

You agree to use the platform in compliance with all applicable laws and regulations, including Pakistan tax laws. You must not:

  • Use the service to submit false, misleading, or fraudulent invoices or data to any government authority.
  • Attempt to gain unauthorized access to any part of the platform, other users' accounts, or connected systems.
  • Reverse engineer, decompile, or disassemble any part of the software or platform.
  • Use the service to transmit malware, spam, or any content that may harm the platform or other users.
  • Resell, sublicense, or redistribute the service without our prior written consent.
  • Exceed the reasonable usage limits of your subscription plan, including the number of companies or invoices.

9. Intellectual Property

  • Our Rights: The platform, including its design, code, algorithms, documentation, and all related intellectual property, is owned by us and protected by applicable laws. These Terms do not grant you any rights to our intellectual property except as needed to use the service.
  • Client Content: You retain all ownership rights to the business data, invoice content, and other materials you upload or create using the platform.
  • License to Use: Subject to payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for the duration of your active subscription.

10. Limitation of Liability

  • No Indirect Damages: To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
  • Maximum Liability: Our total aggregate liability for any claims arising out of or relating to these Terms or the services shall not exceed the total fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim.
  • FBR Submissions: We are not liable for any penalties, fines, or adverse consequences arising from inaccurate or incomplete data submitted to FBR or any tax authority. The Client is solely responsible for the accuracy of all data submitted through the platform.
  • Government Downtime: We are not liable for any losses, penalties, or late-filing fees resulting from downtime or unavailability of FBR IRIS or any other government portal.

11. Termination & Suspension

  • By Client: You may terminate your account at any time by contacting our support team. Termination does not entitle you to a refund of prepaid fees unless required by applicable law.
  • By Us: We reserve the right to suspend or terminate your access to the services immediately and without prior notice if you breach these Terms, fail to pay fees when due, or engage in activity that we reasonably believe poses a risk to the platform or other users.
  • Effect of Termination: Upon termination, your right to access and use the platform ceases immediately. We may retain your data for a period of 30 days following termination to allow for data export, after which it may be permanently deleted.
  • Data Export: You are responsible for exporting your data before termination. We will provide reasonable assistance for data export upon request within the retention period.

12. Amendments

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where possible, through email or in-platform notifications. Your continued use of the services after the effective date of any changes constitutes acceptance of the updated Terms.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising out of or relating to these Terms or the services shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue remedies available under the applicable laws of Pakistan.

14. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, government actions, pandemics, internet or telecommunications failures, or power outages.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
